* Prices listed on Nowexo must be final and transparent, including applicable taxes and fees.
* Payments will be processed via Nowexo’s secure platform, protecting both buyers and suppliers.
* Payment Terms:
* Standard payment term: Net 30 days after delivery confirmation.
* Alternative terms available for verified buyers & suppliers.
* Nowexo is not liable for price fluctuations, currency exchange risks, or financial disputes between parties.4. Delivery & Logistics
* Suppliers are responsible for on-time delivery as per the agreed Incoterms.
* Delays beyond 5 business days may result in penalties or alternative sourcing.
* Buyers must inspect goods upon delivery and report discrepancies within 48 hours.
* Nowexo does not guarantee delivery timelines or supplier performance and assumes no liability for late shipments.5. Quality & Compliance
* All suppliers must provide certifications (e.g., USDA Organic, EU Organic, Fair Trade) for organic ingredients.
* If goods fail to meet agreed specifications, buyers have the right to reject or request replacements.
* Nowexo reserves the right to suspend suppliers failing quality audits.
* Nowexo is not responsible for product defects, mislabeling, or supplier fraud but facilitates dispute resolution.6. Cancellations & Returns
* Buyers may cancel orders within 24 hours of confirmation without penalties.
* Returns due to quality issues or incorrect shipments must be reported within 7 days of receipt.
* Refunds/replacements will be processed only after supplier verification.
* Nowexo is not liable for financial losses due to cancellations, returns, or order disputes between parties.7. Liability & Force Majeure
* Nowexo acts as a marketplace facilitator and is not liable for damages, delays, lost shipments, or product defects.
* Neither party is responsible for failures due to force majeure events (e.g., natural disasters, trade bans, political instability).
* Nowexo does not assume liability for business losses, missed production deadlines, or indirect damages related to sourcing.8. Buyer Responsibility & Indemnification
* Buyers are responsible for completing payments, accepting deliveries, and adhering to agreed terms.
* Buyers agree to indemnify and hold Nowexo harmless from any claims, liabilities, or damages arising from:
* Non-payment, order cancellations, or financial disputes with suppliers.
* Misuse of sourced ingredients, resale issues, or regulatory violations.
* Unauthorized product modifications or misrepresentations.
* Nowexo reserves the right to suspend or terminate buyers engaging in fraudulent, unethical, or non-compliant activities.9. Platform Integrity & Non-Circumvention
* No Direct Transactions Outside Nowexo: Buyers and suppliers agree not to bypass Nowexo for any transactions, orders, or negotiations initiated through the platform.* Consequences of Disintermediation:
* Any violation of this clause may result in account suspension, financial penalties, and legal action.
* Nowexo reserves the right to charge a compensatory fee of up to 10% of the estimated transaction value for deals conducted outside the platform.
* Monitoring & Enforcement:
* Nowexo may use transaction data, communication tracking, and AI-based pattern detection to identify potential circumvention.
* Users attempting to exchange direct contact details or negotiate outside the platform may face immediate restrictions.
* Permitted Exceptions:
* Direct business relationships predating Nowexo registration are exempt but must be documented.
